elibraX Terms and Conditions (Costa Rica)

These Terms and Conditions take effect on 28 October 2026.

Preamble

  10. Fees apply to the System Services as set out in Section 7 of these Terms and Conditions.

  13. Customers are encouraged to connect from a consistent, recognizable network environment and are responsible for a secure and stable connection to the Services. An inconsistent or often changing network environment may trigger additional verification requests or temporary limits on the Services. The Customer may also restrict access to the Account to selected IP addresses in the Account security settings.
  14. The Administrator may apply technical measures that limit access from IP addresses geographically linked to regions where the Services are limited or not supported under the Internal Policies. These measures exist only to ensure that the Services operate lawfully and properly.

Registration, Verification and Accepting Terms and Conditions

  1. An Applicant who wants to open an Account must complete Registration: fill in the Registration forms on the Website, set the Authorization Details, and accept these Terms and Conditions by clicking the "Register" button and ticking the box that gives consent to the processing of personal data in the Registration form.
  2. Acceptance of these Terms and Conditions creates a bilateral agreement between the Parties.
  3. At Registration the Applicant must give the Administrator the following information:
    • An individual: first name; surname; email address; Password.
    • A legal entity or an individual entrepreneur: name of the company or individual entrepreneur; website; a description of the business; first name and surname of the director or authorized person; country of incorporation and registered address; email address and mobile number of the contact person; Authorization Details.
  4. By accepting these Terms and Conditions, the Applicant confirms that they act only on their own behalf and not on behalf of, or in the interest of, any third party.
  5. To pass Verification and obtain full access to the Services available to Verified Accounts, the Customer must give the Administrator the following:
    • 4.5.1. An individual: an image of a valid identity document issued by an authorized state body that shows a unique identification number and the Customer's photo; the Customer's mobile phone number; where the Internal Policies require it, information on the purpose of opening the Account, source of wealth, occupation and employer's name. To identify the Customer and prevent fraud, the Administrator may require the Customer to authenticate by videoconference, including through third-party services.
    • 4.5.2. A legal entity: its certificate of incorporation; a certificate of good standing (or equivalent state document) if the company is older than 12 months; proof of the signatory's authority; details of the Beneficial Owners as required for individuals in clause 4.5.1; its mobile number; a bank statement and other documents if the Account is funded by bank transfer; and any further information the Internal Policies require.
    • 4.5.3. An individual entrepreneur: the certificate of state registration; a certificate of legal capacity (or equivalent state document) if registered more than 12 months ago; details of the registered individual as required in clause 4.5.1; the mobile number; an account statement and other documents if the Account is funded by bank transfer; and any further information the Internal Policies require.
  6. To confirm the phone number the Customer entered in the System, the Administrator sends an automatically generated one-time code to that number, which the Customer must enter on the Website.
  7. If any data required under clauses 4.5.1 to 4.5.3 is missing or turns out to be unreliable, incomplete or outdated, in whole or in part, Verification is considered failed and the Account remains subject to the limits for Unverified Accounts.
  8. Verification is normally carried out within 24 hours after the Customer provides the requested data. It may take longer than 24 hours where the Administrator has reasonable grounds to carry out enhanced due diligence.
  9. Verification is complete when the Customer receives confirmation from the Administrator by email or by message to the phone number given in the System, as the Customer chooses. From that moment the Customer may use the full range of System Services available to Verified Accounts.
  10. The Customer must inform the Administrator promptly of any change to the data given for Verification and provide updated data as soon as reasonably possible.
  11. The Administrator may check from time to time whether the Customer's data is still current. If it finds data that is unreliable, incomplete or outdated, or documents that have expired, it may ask the Customer to submit current data within 14 days.
  12. If the Customer does not submit the requested data within the period in clause 4.11, the Administrator may withdraw the Account's Verification and apply the limits for Unverified Accounts.

Account

  1. When the Applicant completes Registration, the Account is created and the Applicant becomes a Customer.
  2. The Customer may open separate Wallets for each available currency or crypto asset, including a Trading wallet for spot trading. All Funds sent to the Customer's Account are held in the Wallets of the matching currency.
  3. Funds may stay in the Account for an unlimited time. If an Account shows no Transactions for 6 months, a monthly inactivity fee starts to apply to that Customer.
  4. Limits may apply to a Wallet for payins, payments and payouts, depending on the Customer's status, the Type of Wallet and other factors the Administrator may consider. These limits are set under these Terms and Conditions and are published on the Website.
  5. The Customer may use an Unverified Account within its limits or upgrade it by completing Verification under clauses 4.5 to 4.9.
  6. The Customer may open a Personal Account, a Business Account, or both. The specific features of each are described on the Website.
  7. An individual must be at least 18 years old and have full legal capacity under their national law to open an Account. By opening a Personal Account, the Customer confirms being 18 or older, and the Administrator may ask for proof of age at any time.
  8. To open a Business Account, the Customer must be a legal entity or individual entrepreneur with full capacity to open such an account under the laws and requirements of its country of incorporation.
  9. Accounts cannot be opened by US citizens, US permanent residents or legal entities incorporated in the US.
  10. The Customer may open an Account only if the laws of the Customer's country of residence or registration allow it, and by doing so guarantees that no applicable law or regulation is broken. The Customer must compensate the Administrator for all losses caused by a breach of this clause.
  11. Where the Customer wants a Business Account, the Administrator and the Customer conclude an additional agreement. The Customer must comply with that additional agreement as well as with these Terms and Conditions and the Internal Policies.
  12. The Administrator keeps records of the Customer's Transactions and Wallet use while these Terms and Conditions are in force and for 5 (five) years after they end and the Account is closed.
  13. Each new Transaction that changes the balance of a Wallet amounts to the Customer's confirmation of that Wallet's balance. The Customer gives this confirmation by clicking the button that confirms the new Payment Order.
  14. The Wallet, and any Transaction involving it, can be accessed only after Authorization.
  15. By default the System creates the Login from the email address given at Registration; the Login may be changed on request to Customer support. The Customer creates the Password on their own. The Login and Password are used for Authorization and may be changed at any time. The Customer may also enable 2-step verification by authenticator app or by email codes.
  16. The Customer is responsible for keeping the Authorization Details confidential. Any action on the Wallet made with valid Authorization Details is treated as an action of the Customer.
  17. If the Customer enters incorrect Authorization Details 3 times, the Account is blocked. To regain access to the Wallet, the Customer must contact Customer support.
  18. If the Customer loses the Authorization Details, the Customer must contact Customer support and ask to restore access to the Wallet.
  19. To restore access to a Personal Account:
    • the Customer asks for a link to be sent to the email address registered in the System;
    • if the Customer has verified a mobile number, the Customer receives a numeric code by SMS (or by email, or from the authenticator app, as configured) and enters it on the Website page opened from the link sent to the registered email.
  20. To restore access to a Business Account:
    • the Customer sends an access recovery request to Customer support;
    • the Customer receives a numeric code by SMS and enters it on the Website page opened from the link sent to the email address registered in the System.
  21. If the Customer's activity appears suspicious or contrary to these Terms and Conditions, other agreements, the Internal Policies or the law, the Administrator will notify the Customer by email of the suspicious activity, suspected or actual fraud, or security threat.
  22. The Administrator may impose an Account Lockdown without notifying the Customer in advance where there are objectively justified reasons connected with the security of the Account, suspected unauthorized or fraudulent use of the Account, or a breach of these Terms and Conditions or the Internal Policies.
  23. The Administrator lifts the Account Lockdown once its reasons cease.
  24. The Customer may close any Wallet at any time by contacting Customer support. Closing a Wallet does not close the Account.
  25. A Customer may not register more than one Account, except that an individual may hold one Personal Account and one Business Account as an individual entrepreneur. If this rule is broken, the Administrator may automatically flag the extra accounts as fraudulent and suspend the System Services on all of them.

Transactions

  1. The Customer may fund a Wallet by signing in to the Account on the Website and following the payins instructions for that Wallet. Available payins methods may depend on where the Customer is located and are listed on the Website. Crypto payins are credited after they are checked by the elibraX team, and USD or EUR Wallets may be funded by paying with crypto.
  2. Payins and payouts through external networks or providers (including blockchain networks) are third-party payment services and not part of the System Services.
  3. Payins are processed according to these Terms and Conditions, the Internal Policies, the rules of the third parties providing the services and applicable law.
  4. The Administrator may narrow the range of payins methods for certain categories of Customers depending on the risk level of the Customer's activity and/or transactions.
  5. When a third party funds the Customer's Wallet, all rights and obligations relating to those Funds belong to the Customer. The Parties treat such payins as made by a third party on the Customer's behalf and for the Customer's benefit.
  6. For security reasons the Administrator sets payins limits for Wallets, which are shown on the Wallet page.
  7. Third parties may charge their own fees for payins, depending on the payins method used, including network fees for crypto payins.
  8. Funds are transferred electronically through the Wallet on the basis of the Customer's Payment Order, including money sent to other elibraX users by wallet number and exchange between the Customer's own Wallets.
  9. On receiving a Payment Order to transfer Funds from the Customer's Wallet, the Administrator identifies the Customer by the Authorization Details. In some cases, the Administrator may require further identification steps before carrying out the Payment Order.
  10. Every Transaction made with the Customer's Authorization Details is treated as made by that Customer, unless the Administrator has been told of unauthorized or fraudulent use of the Account as described in clause 3.4.
  11. A Transaction within the limits that apply to the Wallet is carried out without undue delay and within 24 hours after the Administrator receives the Payment Order. Where a Transaction depends on third-party financial services or networks, its timing follows the rules of those third parties, and the Administrator is not liable for delays caused by them. Crypto payouts are released after they are checked by the elibraX team.
  12. The Customer may turn on notifications of executed Payment Orders in the Account on the Website.
  13. The Administrator may restrict the list of recipients of Funds for certain categories of Customers depending on the risk level of the Customer's activity and/or transactions. The specific restrictions are published on the Website.
  14. The Administrator may restrict the list of payout methods for certain categories of Customers depending on the risk level of the Customer's activity and/or Transactions. The specific restrictions are published on the Website.
  15. The current limits on Wallet balances and on payment amounts for each Account status and Customer category, which depend on the risk level of the Customer's activity and/or Transactions, are published on the Website.
  16. The Customer chooses a payout method when creating a payout request from a Wallet. The Customer may be asked to prove their identity during a payout. The Wallet must hold enough Funds to cover the payout Fees.
  17. Where a bank card is used to fund a Wallet, the Administrator may ask the Customer to complete a "Know Your Customer" check under the AML Policy.
  18. If the Customer completes the identification procedure and the Funds from the bank card are credited to the Wallet, the card payment cannot be refunded. If the Customer does not complete the identification procedure, the card payment is refunded automatically. A refund to the card may take up to 14 business days, depending on the rules of the Customer's bank.
  19. The Customer may download electronic statements of executed Transactions for any period free of charge in the Account.
  20. Every Transaction the Customer carries out through the System is final and cannot be disputed, revised or cancelled, except for payins made through external systems that have been identified as fraudulent.
  21. For card payins: once card verification is passed and the Funds reach the Wallet, the card Payment is not refundable; if verification is not completed, the pending card Payment is cancelled automatically, and the Customer's bank may take 2 to 14 business days to return the Funds to the card.

Rates and Procedures for Charging Fees

  1. The Administrator charges Fees for the Services it provides to the Customer.
  2. The amount of the Fees and the way they are charged are published in the "Fees" section of the Website.
  3. The Administrator may change the Fees unilaterally, effective on publication on the Website.
  4. Fees are calculated in the currency of the Transaction and rounded to the nearest whole cent (or to the smallest unit used for the relevant crypto asset).
  5. The System Services provided by the Administrator are not subject to VAT or any other turnover tax.
  6. The Administrator debits all applicable Fees from the Customer's Wallet once the Transaction subject to the Fees is completed, or when the Administrator has reasonable grounds to charge them.
  7. If the Wallet balance is not enough to cover the applicable Fees, the Administrator may reject the Transaction and ask the Customer to pay the Fees.
  8. The exchange rates used for exchange of Funds between Wallets in different currencies, and for spot trading, are based on live market rates plus a Fee set by the Administrator. The final rate for a Transaction is fixed at the moment of the Transaction and is shown in the Account before the Customer confirms the Payment Order.

Personal Data

  1. The Administrator processes the personal data of Applicants and Customers. The Privacy Notice that applies to them is published on the Website as a separate document.

Liability

  1. If a Party fails to perform, or improperly performs, its obligations under these Terms and Conditions, it is liable under these Terms and Conditions, the Internal Policies and applicable law.
  2. A Customer who is late with any monetary obligation must pay a penalty of 0.1% of the overdue amount per day of delay, within 3 (three) business days of the Administrator's written or electronic request, which the Administrator may but need not send.
  3. The Customer must reimburse the Administrator for any damages the Administrator is ordered to pay because of the Customer's breach of applicable law while using the System, provided the Administrator can produce documents confirming the amount of those damages.
  4. The Customer is responsible for every Transaction recorded in the Wallet, including card Transactions and those made by third parties with access to the Wallet.
  5. The Customer is fully responsible for knowing the laws of their country of residence on opening an Account and making transfers through the System. The Administrator is not liable for the Customer's breach of national law, and a Customer whose use of the Services conflicts with local law must stop using them immediately.
  6. The Customer bears all risks connected with using the Internet when dealing with the Administrator, other Customers and third parties.
  7. The Customer must not mislead others about the Services or do anything that could directly or indirectly harm the Administrator's reputation, including posing as a representative of the Administrator, falsifying information about the System (such as transaction IDs, wallet numbers, text, screenshots or other media), or cloning the Website. In case of a breach, the Administrator may block the Customer's Accounts, freeze the Funds while it investigates, and otherwise limit the Customer's use of the System. The Administrator may also bring legal proceedings before the competent courts, including against persons who are not Customers.
  8. The Customer must indemnify the Administrator and its affiliates against any claims, losses, costs or expenses (including legal fees and penalties) arising from the Customer's breach of these Terms and Conditions or applicable law and/or from the use of the System. This obligation survives the end of the relationship.
  9. If, through the Customer's fault, a completed Payment leads a payer to claim against the Administrator, the Administrator may require the recipient of the Funds to compensate any amounts or property recovered from the Administrator for the payer.

Disclaimer

  1. The Administrator is not responsible to the Customer:
    • where the Customer shares their data with third parties, knowingly gives others access to their Wallet, or otherwise breaches the confidentiality of their information through their own fault;
    • for unlawful acts of third parties, including those involving the Customer's registration data, email or Authorization Details;
    • for viruses or other malicious software on the hardware and software the Customer uses to access the System;
    • for disputes over transactions between Customers made through the System;
    • for the Customer's breaches of the law in connection with the use of the System, or for claims against the Customer by tax, regulatory or law enforcement authorities concerning reporting or taxation of the Customer's transactions involving the System;
    • where the Customer lacks access to the software or hardware needed to use the System;
    • where the Customer cannot be reached through the Contact Details provided, in particular because the Customer gave unreliable data or did not update it in time;
    • for payment services provided to the Customer by third parties, including blockchain networks;
    • for the acts of third parties whose websites the Customer visited through a link or information on the Website;
    • for temporary unavailability of the System, or for malfunctions and errors of hardware or software (including power or network failures, software faults, and outages of mail services, Internet providers, payment systems or other third-party lines, channels and networks) that do not arise through the Administrator's fault; in such cases the Administrator is not responsible for any losses the Customer may suffer.
  2. If the Authorization Details or Password are lost, the Wallet is locked, or another event requires confirmation of the Customer's identity, the Administrator is not responsible where access cannot be restored because the Customer cannot access their email, mobile number or authenticator app, or cannot otherwise confirm their identity under clause 5.20.
  3. The Administrator is not responsible for any damage or loss suffered by the Customer or any third party as a result of:
    • a Wallet Lockdown under these Terms and Conditions or the law;
    • failure to pass Verification;
    • Payment Orders filled in incorrectly or submitted by mistake, including a wrong wallet number or crypto address;
    • the Customer's breach of the established procedure for making Payments;

    • the Customer's breach of these Terms and Conditions, the Internal Policies, or the Administrator's instructions and guidelines.
  4. In every case, the Administrator's liability to the Customer is limited to an amount no greater than the Fees charged to that Customer over the previous 3 months.
  5. The Administrator is not liable for any indirect or consequential loss suffered by the Customer or any third party, including loss of profit, loss (forfeiture, non-receipt or unjustified spending) of revenue, income, contracts, customers, time, data, business or reputation.
  6. The Administrator provides the Services to the Customer "as is", in their current state, without any express, implied or statutory representation or guarantee.

Communication Between the Parties

  1. The Administrator communicates with the Customer through the Contact Details.
  2. The Customer and the Administrator may communicate in English.
  3. The Customer may contact the Administrator at any time through the support chat on the Website.
  4. The Administrator may tell the Customer about changes to the Services by email or by publishing updates on the Website.
  5. Documents are exchanged between the Customer and the Administrator electronically through the Account. Unless these Terms and Conditions or the Internal Policies say otherwise, use of the Authorization Details is a sufficient way to authenticate the Customer and to confirm the authenticity and integrity of electronic documents. The Parties treat the entry of the Customer's authentication data as equal to the Customer's handwritten signature.
  6. The Administrator may email the Customer about new Wallet features and special offers. By accepting these Terms and Conditions, the Customer agrees to receive such messages and may unsubscribe at any time.

Term and Termination

  1. These Terms and Conditions remain in force for an unlimited period until they are terminated as described below.
  2. The Customer may close the Account at any time from the personal account area, provided no obligations to the Administrator remain outstanding.
  3. Once the Customer starts closing the Account, no further Transactions can be made with it. Any monetary obligations of the Parties that arose before the Account was deleted remain in effect until fully performed.
  4. If any Funds are left in the Account of a Customer whose agreement has ended, the Administrator will send those Funds, less applicable fees, to the payment details the Customer specifies.
  5. The Administrator may terminate these Terms and Conditions on its own initiative by sending the Customer the required written notice at least two months in advance.
  6. After the Account is deleted, the Administrator keeps information on completed Transactions for 5 years as required by law.

Amendments

  1. The Administrator may amend these Terms and Conditions on its own initiative by publishing the updated text on the Website.
  2. The Administrator will post a notice of upcoming amendments in the Customer's Account at least 2 (two) months before they take effect. The Customer must accept or reject them before that date; a rejection is sent through Customer support and ends the agreement on the date the amendments take effect.
  3. Amendments take effect from the moment the updated text is published on the Website.
  4. The Customer's use of the Services is treated as unconditional acceptance of the updated Terms and Conditions.
  5. All appendices to these Terms and Conditions form an integral part of them.
  6. Notwithstanding the other provisions of this Section 13, the notice period in clause 13.2 does not apply to changes to the Fees for the Services, which may apply immediately and without prior notice. Amendments needed to comply with applicable laws or regulations may also take effect immediately and without prior notice to the Customer.

Force Majeure

  1. Neither Party is responsible for delay or failure in performing its obligations, or for expenses, losses and costs of third-party claims, caused by natural disasters, acts of civil or military authorities, civil unrest, strikes, fires, transport disruptions, outages of telecommunications, utilities, Internet or network providers, acts or omissions of third parties, or attacks on the services by any means (including DDoS attacks, viruses, Trojan horses, worms, time bombs or other disruptive software), or failures of blockchain networks (each a "Force Majeure Event"). The Party affected by a Force Majeure Event must notify the other Party within 10 days after it begins.
  2. Clause 14.1 does not limit or end the Customer's obligations to make return Payments, to pay any fines, penalties, fees or commissions, to return any goods, or to perform (or refrain from performing) any works or services once the Force Majeure Event is over.
